Terms and Conditions

1. Scope

These terms and conditions apply to all services provided via the firmbase.ch platform.

2. Provider

The provider is Henosis Ventures GmbH, Lindenstrasse 8, 6340 Baar, Switzerland ("Firmbase"). Contact: hello@firmbase.ch.

3. Services overview

Firmbase is a digital platform for the formation and administration of companies. Firmbase assists through guided data capture, automated document generation and coordination; notarial and official acts are performed by the notary's office and the commercial register respectively.

4. Conclusion of contract

By registering and submitting an application or a booking, the customer makes an offer. The contract is concluded upon confirmation by Firmbase or provision of the service. Use requires acceptance of these terms and conditions.

5. Duties to cooperate and exercise care

The customer provides complete and correct information, keeps it up to date, proves their identity and authority on request, and uses the services exclusively for lawful purposes.

6. Prices and payment

The prices shown on firmbase.ch or in the confirmation apply, in Swiss francs (CHF), plus any value-added tax and statutory levies. Third-party costs (notary's office, commercial register, bank, postal service providers) are not included unless expressly stated otherwise.

7. Involvement of third parties

Firmbase may involve third parties to provide its services, in particular notary's offices, commercial registry offices, and postal and technology partners. Their services may be subject to their own terms.

8. Liability

Firmbase is liable only for direct damage resulting from intentional or grossly negligent breach of duty. Liability for indirect damage, lost profit and for the accuracy of the data entered by the customer is excluded to the extent permitted by law.

9. Data protection

The processing of personal data is governed by the privacy policy and the Swiss Data Protection Act (DPA).

10. Confidentiality

The parties treat the other party's confidential information as confidential and use it only to perform the contract.

11. Contract term and termination

The contract term and termination depend on the service obtained and the confirmation.

12. Amendments to these terms

Firmbase may amend these terms and conditions. The version valid at the time the contract is concluded or the service is obtained applies. Material changes will be communicated in an appropriate manner.

13. Severability

Should any provision be invalid, the remainder of the contract remains valid. The invalid provision will be replaced by a permissible provision that comes closest to its economic purpose.

14. Applicable law and place of jurisdiction

Swiss law applies. The place of jurisdiction is Baar, Canton of Zug, unless a mandatory place of jurisdiction takes precedence.
