Change of address

Firmbase prepares and submits your company's new address filing to the commercial register office, including the domicile declaration for a c/o address. Within the same municipality, no notarisation is needed.

CHF 147 excl. VAT per filing.

What Firmbase takes care of when the address changes

If your company moves within the same political municipality, only its legal domicile changes in the commercial register, that is the address with street, house number, postcode and town. The legal seat stays the same, the articles of association do not change, and no notarisation is needed. The change of address is filed by persons with signing authority for the company.

We prepare the filing with the new address and, if the company is domiciled there c/o, the domicile declaration. Once signed, we submit the documents to the commercial register office; you can also submit the filing yourself. If you change officers or signing authority at the same time, we include this in the same filing.

Change of address or relocation of the seat

What counts is the political municipality, not the town name in the postal address. A district can have its own postcode and still belong to the same municipality. If the company stays in the same municipality, it is a change of address. If it moves to another municipality, even within the same canton, it relocates its legal seat. Because the seat is part of the articles of association, this amendment of the articles is publicly notarised; more on this under seat relocation. When you enter the new address in the order form, the change is classified according to the municipality.

Own premises or c/o address

The legal domicile can be the company's own address or the address of a third party, then with the addition “c/o”. For own premises, the new address in the filing is enough. For a c/o address, the filing must include a declaration by the domicile provider that it grants the company a legal domicile at its address. We prepare this domicile declaration; the domicile provider signs it.

We offer interested founders a business address in Baar, Zug, including as an independent address without c/o: business address in Baar, Zug.

Frequently asked questions

The company files the new address with the commercial register office of the canton where it has its legal seat. The filing is signed by persons with signing authority for the company, as their signing authority is registered; for a c/o address the domicile declaration is attached. With Firmbase you enter the new address online, and we prepare the documents and submit them once they are signed.

Yes, as long as the new address is in the same political municipality. The seat then stays the same and no notarisation is needed. If the new address is in another municipality, the move is a relocation of the seat.

Our price is CHF 147 excl. VAT per filing, with the domicile declaration for a c/o address. The commercial register office also charges a fee of CHF 30 for the new address, plus any outlays; it is not included in our price. The office invoices the company directly. Private companies regularly send invoices that look like those of the commercial register office. You do not have to pay these invoices.

No notarisation is needed, because the articles of association do not change. On paper the signatures on the filing must be certified unless the office has already received them certified for the same company; a filing with a qualified electronic signature needs no certification. Certification costs are not included in our price.

An entry takes effect when it is published in the Swiss Official Gazette of Commerce (SOGC). From then on, nobody can claim not to have known the new address.

The domicile provider can file the deletion of the legal domicile with the commercial register office itself. If the company no longer has a legal domicile at its seat, this is a deficiency in its organisation. The office asks it to remedy the deficiency within a deadline and then refers the matter to the court. File a new address in good time; if it is in the same municipality, it is a change of address.
