What Firmbase takes care of in a seat relocation
The legal seat of a GmbH or AG is a political municipality, and it is stated in the articles of association. Anyone who relocates the seat to another municipality therefore amends the articles: the members' or general meeting resolves the relocation, and the resolution is publicly notarised. We prepare all required documents and organise and coordinate the notarisation. In the standard case the meeting is held as a universal meeting: every member or shareholder is represented under a power of attorney that we prepare.
Together with the new seat, the address where the company can be reached there is entered. If it is a c/o address, we prepare the domicile declaration. We submit the filing to the commercial register office at the new seat.

Relocating the seat to another municipality or another canton
What counts is the political municipality, because its name is entered in the commercial register as the seat. Every move to another municipality is a seat relocation, even within the same canton. If the company stays in the same municipality, the articles do not change; in that case a change of address without notarisation is enough.
If the company moves to another canton, it files with the commercial register office at the new seat. That office decides on the registration and instructs the previous office to delete the entry there. The relocation and the deletion are entered on the same day, and the previous office transfers the company's data and supporting documents to the new one.
The address at the new seat
The legal domicile is entered together with the seat: street, house number, postcode and town of the address where the company can be reached at the new seat. This can be its own address, such as rented offices, or the address of a third party as a c/o address.
For a c/o address, the commercial register office requires a declaration by the domicile provider with the filing, that is by the person or company that provides the company with its address. We prepare this domicile declaration; the domicile provider signs it. We offer interested founders a business address in Baar, Zug, including as an independent address without c/o: business address in Baar, Zug.

Several changes in one order. Whatever belongs in the same deed is charged once: if you relocate the seat, change the company name at the same time and appoint a new managing director at the new location, you pay CHF 497 excl. VAT once. The exceptions are the capital increase, whose price of CHF 1'497 includes the seat relocation in the same deed, and the transfer of GmbH shares, which is added to the price of the seat relocation. We guarantee the entry in the commercial register. If the office rejects the filing, we correct the documents free of charge, with a supplementary notarisation if necessary.
Frequently asked questions
At Firmbase the seat relocation costs CHF 497 excl. VAT, for the GmbH and the AG alike. This includes the documents, the organisation of the notarisation and the notary fees. The commercial register office also charges a fee of CHF 200 for the amendment of the articles, plus any outlays; the office invoices the company directly. Private companies regularly send invoices that look like those of the commercial register office. You do not have to pay these invoices. Registered personal details or functions cost CHF 20 per person; signing authority costs CHF 20 per person.
